Terms of Service (Allgemeine Geschäftsbedingungen)

1. Provider and Scope
These Terms of Service govern all contracts concluded through the online shop at yunexa.com between:

(hereinafter "YUNEXA", "we" or "us") and you as our customer.
YUNEXA is a brand of Core Tradex Company, a sole proprietorship (Einzelunternehmen) not entered in the commercial register.
Terms and conditions of the customer that conflict with or deviate from these Terms do not become part of the contract unless we have expressly agreed to them in writing.
1.1 Consumers and business customers
A consumer (Verbraucher, § 13 BGB) is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business or profession.
A business customer (Unternehmer, § 14 BGB) is a natural or legal person or a partnership with legal capacity who, when entering into a legal transaction, acts in the exercise of their trade, business or profession.
Section 13 contains provisions that apply only to business customers.
2. What We Sell
YUNEXA produces personalised textile and accessory products. Every item is manufactured individually according to the specifications you set in our online configurator: the garment, the colour, the size, the print areas, the artwork or text, and the position and size of your design.
We do not sell plain, unpersonalised stock garments through this shop.
3. How a Contract Is Formed
The presentation of products in our online shop does not constitute a legally binding offer. It is an invitation to you to place an order.
The ordering process is as follows:
- You configure your product and place it in the shopping cart.
- Before adding it to the cart you are asked to confirm, by ticking a box, that you own or have permission to use all content in your design, that you have checked your configuration, that you have read these Terms, our Returns & Legal Rights policy and our Privacy Policy, and that you understand there is no statutory right of withdrawal for personalised goods. Your confirmation is recorded together with a unique identifier for that exact configuration.
- In the checkout you enter your delivery and payment details and can review and correct all entries on a summary page.
- By clicking the order button you submit a binding offer to purchase the items in your cart.
- We confirm receipt of your order by email without delay. This automatic acknowledgement does not yet constitute acceptance.
- The contract is concluded when we send you a separate order confirmation, or at the latest when we dispatch the goods.
The text of the contract is stored by us and sent to you by email together with these Terms. You can also view your orders in your customer account if you have created one.
Orders can be placed in English or German. The contract language is the language in which you place your order.
4. Your Design Content — Rights and Responsibility
This section is important. Please read it carefully.
4.1 Your warranty
When you upload artwork, photographs or text, or when you compose a design in our configurator, you warrant that you hold all necessary rights to have that content reproduced by us on a product, and that the content does not infringe any third-party rights — in particular copyright, trade mark rights, design rights, name rights or personality rights — and does not violate any applicable law.
4.2 Indemnity
If a third party asserts a claim against us because of content you supplied, you shall indemnify us against that claim and against the reasonable costs of legal defence, unless you are not responsible for the infringement. This applies in particular to claims arising from copyright, trade mark, design, name or personality rights.
4.3 Content we will not print
We reserve the right to refuse an order, in whole or in part, where the content:
- infringes the rights of third parties,
- is unconstitutional, glorifies violence, or incites hatred,
- displays symbols of unconstitutional organisations,
- is pornographic or harmful to minors,
- is defamatory or discriminatory, or
- otherwise breaches applicable law.
If we refuse an order for one of these reasons after payment, we will refund you in full. We are not obliged to review or monitor your content, and we carry out no systematic legal examination of it.
4.4 Storage of your files
We store the files you upload for the purpose of producing your order and for possible re-orders and complaints. Details, including retention periods, are set out in our Privacy Policy.
5. Prices and Price Components
All prices are total prices in euros and include the applicable statutory value added tax. Shipping costs are shown separately before you complete your order.
5.1 Personalisation and print charges
The price of your item consists of a base garment price plus a charge for each print area you select. These components are shown separately in your cart and on your invoice for transparency, so that you can see how the price is made up.
They form the price of one single, indivisible personalised product. The personalisation and print charges cannot be ordered, cancelled, returned or refunded separately from the item they belong to, and the base garment cannot be ordered without personalisation.
6. Payment
The payment methods available to you are shown in the checkout before you complete your order. Payment is due immediately on conclusion of the contract unless a different arrangement has been expressly agreed.
Because your item is produced individually for you, we begin production only after payment has been received or authorised.
7. Delivery
We deliver to the countries listed in our Shipping Policy. Delivery times consist of a production time and a shipping time, both stated on the product page and in the checkout.
Delivery periods begin on the day after payment is received or authorised. If a delivery period ends on a Saturday, Sunday or public holiday at our place of business, it is extended to the next working day.
If we are unable to meet a stated delivery time, we will inform you without delay and give you a new expected date. Your statutory rights in the event of delay remain unaffected.
If not all items in an order are ready at the same time, we may make partial deliveries at no additional shipping cost to you.
8. Retention of Title
The goods remain our property until payment has been made in full.
9. Right of Withdrawal
Because our products are manufactured to your individual specifications, the statutory right of withdrawal is excluded under § 312g (2) no. 1 BGB. This exclusion applies from the moment your order is placed and does not depend on whether production has already begun.
The full explanation, together with the exceptions and your rights in the event of defects, is set out in our Returns & Legal Rights policy, which forms part of these Terms.
Your statutory rights in respect of faulty or incorrectly supplied goods are not affected by this exclusion.
10. Warranty for Defects
Statutory law on liability for defects applies (§§ 434 ff. BGB). For consumers, claims for defects are generally subject to a two-year limitation period running from delivery; any statutory extension or suspension of that period, and the statutory rules on the burden of proof in your favour, remain unaffected.
Where a defect exists, you are entitled to subsequent performance under § 439 BGB and may choose between repair and replacement. We may refuse the option you choose only where it would involve disproportionate cost, in which case we will explain why and provide the other remedy. In practice, a printed item is normally replaced rather than repaired. We bear the costs necessary for subsequent performance.
Please contact us at service@yunexa.com with your order number and photographs of the issue. Contacting us early helps us resolve matters quickly, but your statutory rights are not conditional on any deadline set by us.
11. Characteristics of Custom Textile Printing
Textile printing is a physical process and certain variations are inherent to it. The following are typical characteristics of the products we make, and we draw your attention to them specifically before you order, so that you know what to expect:
- Colour on screen versus colour in print. A screen emits light; ink on fabric reflects it. Slight differences between your on-screen preview and the printed result are normal and cannot be eliminated.
- Print position. Placement is subject to a small production tolerance, stated on the product page.
- Fabric. Natural variations in texture, weave and shade may occur between production batches.
- Garment measurements. Size charts reflect the manufacturer's specifications and are subject to the tolerances stated there.
- Resolution. Where you upload a low-resolution file, we show you a specific warning and a preview of the expected result before you order.
- Your own content. Spelling, wording or layout in artwork or text you supply is reproduced by us as supplied, without alteration.
These are descriptions of normal production characteristics. They do not exclude or limit your statutory rights, and they do not apply where the finished item falls outside the tolerances disclosed to you or where a fault was caused by us.
12. Liability
We are liable without limitation for damages arising from injury to life, body or health, for damages caused intentionally or by gross negligence, in cases of fraudulent concealment of a defect, where we have given a guarantee, and under the German Product Liability Act (Produkthaftungsgesetz).
In the case of slight negligence, we are liable only for breach of a material contractual obligation — that is, an obligation whose fulfilment makes proper performance of the contract possible in the first place and on whose fulfilment you may regularly rely. In such cases our liability is limited to the foreseeable damage typical for this type of contract.
Any further liability is excluded.
13. Business Customers
This section applies only to customers who are business customers within the meaning of § 14 BGB.
- No right of withdrawal. The statutory right of withdrawal applies only to consumers and does not apply to business customers in any event.
- Duty to inspect and give notice. § 377 HGB applies. You must inspect the goods without delay after delivery and notify us of any defect without delay. Defects that are not apparent must be notified without delay after discovery. Otherwise the goods are deemed approved.
- Limitation period. Claims for defects become time-barred one year after delivery. This does not apply to claims for damages arising from injury to life, body or health, or from intent or gross negligence, or where a longer period is mandatory by law.
- Quantity tolerance. For orders of 25 items or more, we may deliver up to 5% more or fewer items than ordered. Invoicing is based on the quantity actually delivered.
- Advance payment. We may require advance payment or a deposit, in particular for first orders and for larger quantities.
- Place of performance and jurisdiction. The place of performance and the exclusive place of jurisdiction is Hamburg, provided you are a merchant, a legal entity under public law, or a special fund under public law.
14. Dispute Resolution
We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
15. Final Provisions
Governing law. These Terms and all contracts concluded under them are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer with your habitual residence in another country, the mandatory consumer protection provisions of that country remain unaffected.
Language. These Terms are available in English and German. Where versions differ, the version in the language in which the contract was concluded prevails.
Severability. Should any provision of these Terms be or become invalid, the validity of the remaining provisions is not affected. The statutory provisions apply in place of any invalid provision.
